EPCA_MoC_October 2020) European Partnership for Clean Aviation Joint Memorandum of Commitment (version October 2020) The Parties (listed above) hereby express their intention to make the financial and other commitments identified below to enable the implementation of the Clean Aviation Strategic Research and Innovation Agenda (“SRIA” version July 2020) through a European Partnership for Clean Aviation, subject to the conditional decision of the European Council on the establishment of a Clean Aviation Partnership and the European Commission entering as public partner on behalf of the European Union and funding the Clean Aviation Programme. The Parties acknowledge that their commitment will be subject to a second final commitment letter and to the acceptance of the conditions therein provided, which will confirm the parties’ unconditional agreement to enter into the Clean Aviation Joint Undertaking (hereinafter also the “JU”). However, at present, they acknowledge that the legal framework and the conditions of the future Clean Aviation Joint Undertaking are yet to be established by the legislator. Although the “SRIA” has been the subject of public consultation and discussions with the European Commission as part of the Horizon Europe Framework Programme, and the European Commission has expressed its broad acceptance of the “SRIA” content, it is not yet in a position where a firm commitment can be made to the Union funding and to the content of the European Partnership for Clean Aviation. Based on the above, the Parties are entering into this Memorandum of Commitment to express their interest and support to the objectives of the European Partnership for Clean Aviation and to demonstrate their potential commitment to the research programme as outlined in the SRIA and its objectives, based on the following assumptions: - the parties express their intention to contribute up to 3B Euro as overall private contribution to the Partnership subject to a reasonable and proportionate funding by the European Commission to be allocated to the Partnership; - administrative costs of the Clean Aviation Joint Undertaking equivalent to Clean Sky & Clean Sky 2 equal to ca 5% of the Union funding allocated to the JU on a 50-50 share split with European Commission; - In-kind contribution subject to the level of participation to the JU projects/indirect actions and to the amount of Union funding that will be granted under the open calls procedure; - fair and reasonable representation of the Parties in the governing structure of the Clean Aviation Joint Undertaking with adequate representation and voting rights (proportional to the risk and responsibilities endorsed); - the private contribution model and the in-kind contribution methodology should not affect the attractiveness of the initiative, nor prevent any stakeholders from participating and engaging in the Partnership. 4",

EPCA_MoC_October 2020) The Parties are declaring to have, with their affiliated entities, all the necessary resources, capabilities, authorizations, certifications and partners network and eco-system to thoroughly perform the required research, design, and integration and validate the achievable performance for regional and short medium range applications and hydrogen technologies, enabling the Clean Aviation programme envisaged in the “SRIA” to deliver real impact. The total estimated joint contributions of the Parties over the 10 years expected duration of the Partnership comprises (i) direct in-kind contributions as calculated via the projects and (ii) in- kind additional activities stemming from significant additional investments, including national and self-funded research projects by the Parties, as well as unaccounted overhead and administrative costs. The total estimated joint contributions of the Parties also include in part an estimation of the expected additional Members’ private contributions to the Partnership (Extended Eco-System & Supply chain). The Parties, with the European Commission and via the Partnership, are committed to engaging the wider aviation stakeholders’ eco-system and supply chain of EU Member States and Associated Countries for their indispensable contributions to the Partnership. The Parties hereby declare and confirm that their future commitment will be subject to a reasonable and proportionate funding amount to be allocated by the European Commission to the European Partnership for Clean Aviation following a dedicated discussion and to its confirmation following the outcome of the legislative process of the European Partnership for Clean Aviation.
