Agreement on Joint Declaration of 2020 International Cooperation and Exchange in Science and Technology Research Project of Sichuan Province Party A: Sichuan University Party B: Freie Universität Berlin No.24 South Section I, Yihuan Road, Kaiserswerther Str. 16-18, 610065 Chengdu, China 14195 Berlin, Germany Executing Entity: Executing Entity: College of Polymer Science and Engineering Institute of Chemistry and Biochemistry Principle Investigator: Prof. Dr. Chong Cheng Prineiple Investigator: Prof. Dr. Rainer Haag SCU Contract Nr. 20192077 FUB Contract Nr. 2019000279 The two parties want to conduct a joint research project in the framework of the “Joint Declaration of 2020 International Cooperation and Exchange in Science and Technology” of Sichuan Province and. therefore have reached a cooperation agreement as follows: 1. Title of Project, Category, Period of Execution Title: Ce-based Metal-Organic Frameworks as Nanocatalytic Medicines for Targeted Therapies of Inflammatory Diseases in Arthrosis Category: International cooperation and exchange in science and technology research project Period of Execution: 01.01.2020 - 31.12.2021 2. Research content of project The research project will be jointly conducted by both parties. Both Parties assume that Party A will undertake 80% of project contents and that Party B will undertake 20% of project contents. 3. Duties of two Parties 3,1 Duty of Sichuan University (SCU) 3.1.1 SCU is responsible for the organization and implementation of the project. 3.1.2 The preparation and characterization of the cell-mimetic and drug-loaded Ce-based metal-organic frameworks and test the efficiencies to serve as the nanozymes.
3.1.3 SCU is responsible for evaluating the effectiveness and safety of the cell-mimetic and drug-loaded Ce-based nanozymes in vitro and in vivo. 3.2 Duty of Freie Universität Berlin (FUB) 3.2.1 FUB is responsible for giving assistance on the design of Ce-based metal-organic frameworks and the related catalytic activities tests. 3.2.2 The assistance on the related in vitro and in vivo investigations of using cell-mimetic and drug-loaded Ce-based nanozymes for inflammation and arthrosis. 4. Budget for project The appropriation oftthe special funds shall be 200,000 yuan, 100% of the funds used by Party A, 0% ofthe funds used by Party B. Party A will provide all the expenses of the cooperation research works, including the salary for students, living and travelling expenses, and other related costs based on the funding regulation. The allocation would be adjusted according to the actual approved budget. 5. Intellectual property rights. The ownership of all and any result or respective intellectual property belongs to the Party who independently generates the result. The result or respective intellectual property rights that are jointly completed by both Parties shall be jointly owned by the two Parties, and neither Party can handle or transfer to other parties without authorization of the other Party. Both Parties shall take necessary measures to protect the result and respective intellectual property owned by the other Party or both Parties. Especially, all the publications and patents jointly completed by both Parties shall be jointly owned by the two Parties, and neither Party can publish or transfer to other parties without agreements or authorization. All the publications and patents related to this project should be fully discussed by both Parties before submission. Notwithstanding the foregoing, both Parties grant each other an irrevocable, non-exclusive, royalty-free license to use any result for non-commereial research and teaching purposes. 6. Representations Any result provided under this Agreement is understood to be experimental in nature and provided “as is”. It may have hazardous properties. No Party makes any representations and extends no
warranlies of any kind, express or implied, as to Ihe merchantability or the fitness of the results for a particular purpose, or that the use of the result will not infringe or violate any patent, copyright, trademark, or other proprietary rights of a third party. 7. Other conventions 7.1 This agreement is in quadruplicate, and each party holds two copies. 7.2 Matters that not covered are discussed separately.
