2: Participation Contract Exoo Dubal 2020, UAE (Corporate Participant) This Participation Contract ("the Contract”) Is signed on 30/01/2019 By and between: Baden Württemberg 2 ED {hereinafter referred to as "the Participant”), ar d Expo Dubai 2020 LLC - SO, represented by (ED ({hereinafter referred t6 35 "the Organiser”), Herelnafter referred to Individually as a "Party" and collectively as “Parties” Whereas,the Participant submitted an official application to participate at Expo 2020 Dubai by virtue ofa letter dated 31* October 2018, Whereas, the Organizer has accepted the Participant's application, Itis hereby agreed between the Parties as follows: CHAPTER I - GENERAL PROVISIONS Artislei: The object ofthe present Contract is to establish the terms on which the Participant shall take part in the Dubal Expo 2020 (hereinafter referred to a5 "the Exhibition”), The Participant shall comply with all the rules and regulations of the Organiser in building Its pavilion Including the Self-Bullt Pavilions Gulde attached to this Contract as Appendix I, In addition to the above, General Regulations and the applicable Special Regulations ofthe Exhibition approved by the Bureau International des Expositions (hereinafter referred to as "the BIE*), and any other applicable guides, including Participant branding guidelines, Guides”) ‘provided in the Participant Portal shall be acknowledged by the Participant and wili be considered as an Integral part of the present Contract and are binding os the Parties. In the areas not regulated by the BIE convention, General Regulations, Special Regulations and Guides, the Participant shall also comply with all applicable laws and regulations in the United Arab Emirates, Article The Participant shall appoint a director to act as the Participant‘s representative under this Contract. The director shall be responsible for building, operating and managing the Particigant Pavilion.
3: Article The Organizer will grant the Participant access to ar online portal (hereinafter referred to as "the Participant Portal”) that will offer end to end support to the Participant for aspects related to the Participant works such as theme statement, and design submissions and soprovals, queries, service requests. All communications between the Parties for the purposes of this Contract shall be through the Participant Portal. CHAPTER II - THE PARTICIPANT’S EXHIBIT The Organiser places at the disposal of the Participant, which hereby accepts, free of charge, the space designiated on the plan attached herewith as Appendix 4. « The plot for construction shall be handed over by the Organiser no later than two weeks from the subrnission of the plot possession form available on the Participant Portal and after issuance of the bullding permib; » Pavilion structures should be built by Participant na later than October 20th, 2019; “« The entry of iterns to be exhibited shall be authorised as from May 20th, 2020. The Participant undertakes to exhibit as per the theme ofthe Exhibition described In the General Regulations and in Special Regulation No.1. The Participant shall set up an exhibltiori as described In the "Theme Statement” approved by the Organiser and attached to this Contract as Appendix III, which constitutes an Integral part hereof. The Participant shall be registered on the Participant Portal and shall abide by all requirements and approvals to be Issued by the Organiser Inciuding all relevant applicable rules. Article 5: The Partielpant shall be responsible for building the Pavillon and Its decoration, maintenance, management.and cleaning of the spaces at Its disposal, For the duration of the occupation of the allscated space by the Partieipant, the Organiser shall provide the Partielpant with connection points to the services such a5 gas, electricity, telecornmunications, water inlets and autlets, garbage removal, ete., in accordance with Special Regulation No.10. The cost of the connection, services and consumption shall be borne by the Particlpant. - Upon request by the Organiser, the Participant shall submit to the Organlser the information and documentation induding but not imited to ihe number and qualifications of personnel to be engaged In the preparation and Implementation of the Participant's exhibition In addition to the goods and supplies related to the Participant’s exhibitian and which it Intends to import. The aforementioned and ather exchanges of useful information ganstitute mutual assistance intended to facliitate the suceass of the Exhibition and each of the individual participation,
Article _7: The Participant shall be solely responsible for the cholce and Installation of exhibits in its section as well as for the choice of all personnel within that section. The Participant shall require parties identified in the following paragraphs to comply with this contract, the General Requlations and the applicable Special Regufations, as well as agreements based on the aforementioned regulations: 1, Exhibltors In the spaces allocated to the Participant, as well asthelr ernployees involved in duties related to the Participant’s participation in the Exhibition; 2, Parties who are engaged in events or commercial activitles for the Participant, and their employees; 3. Parties who are engaged in construction exhibit decorationofthe spaces allocated to the Participant, and their ermployees; and Except for those described in the (1) to (3) above, any other Participant's employees and agents, The Organiser undertskes not to cammunicate with the personnel mentioned above, except through the Participant. The Particlpant.hereby undertakes: 1. To complete all works, fitting aut, furnishing, overlay and other activitles necessary for its Pavilion to be complete, event-ready as per the following schedule: « Actual construction work shall be completed by October 20%, 2019 « Internal conversion and finishing work by July 20%, 2020 » installation of exhibits by Septernber 20, 2020 2. To keep its spaces, open to visitors during the days and hours when the Exhibition Is open for the entire duration of the Exhibition; 3. To authorise the Organiser to install, maintaln and repair facilities necessary for the smöooth operation of the Exhibition within the spaces aällocated to the Participant without disturbing the Partieipant's exhiblts and at no costs to the Participant; and 4. To evacuate the plot aliocated to the Participant and return it to the Organiser in its original condition by October 10%, 2021 atthe latest unless otherwise agreed between the Parties, Should the Participant fail to fulfil the above obligations, the Organiser shall be authorised to dismantle, remove, store, attach and sell the Participant’s exhlblts and goods located within the Exhibition grounds {if any) at the Participant's cast and risk.
If at any time it appears to the Organiser that there is no reasonable prospect that the Participant will perform its obligations under this Contract, especially those mentioned in Article 4 above, the Organiser will have the undisputed right to: « Perform {or pracure that a third party performs) the works and/or activities at the cost and expenses of the Participant to necessary enable the Pavilion to be complete and event-ready not later than the relevant date or dates; and/or Terminate this contract and require the Participant to: (1) vacate ‘ « the ' space(s) allocated to the Participant; and (2) restore these spaces to its/their original condition (except to the extent contractualiy agreed otherwise), in each case with Immediate effect. For the avoldance of doubt, in the event the Participant fails to abide by any obligation under this Contract, the Organiser shall have the right to reattribute the space for third parties or use it for any other purpose at its sole discretion, CHAPTER III - THE PARTICIPANT'S COMMERCIAL ACTIVITIES For the purpose of this Chapter, references to Official made in Participants the Special Regulation no,9 shall include corporate and non-official participants, Article 10: The Participant may establish, within the premises made avallable to it under Article 2 hereof, restaurants open to the general public, where Its cuisine shall be served as defined In the Speclal Regulation No,9, The Organiser shall not receive any rent in respect of the space occupled by this restaurant, but the Participant shall pay monthly to the Organiser a royalty on the turnover of the restaurant, as described in the Speclal Regulations, The Participant may also establish within the premises made avallable to It under Article 2 hereof, excdlusively for the use of its personnel, a restaurant and refreshment service, The detalled terms and conditions related to the establishment of restaurants shall be set forth in the relevant guides. Article 11: The Participant may sell to the general public photographs, including slides, postcards, audio and visual recardings fon films, cassettes, compact discs and other electronic media), books and stamos relating to its activity or its organisation. Subject to the Organiser’s approval, the Participant may also sell articles which are truly representative of the Participant with prior approval of the Organiser. Such articles may be replaced during the course of the Exhibition. Prior to obtaining the Organiser's approval to undertake Ihe commercial activities mentioned In the present Article 11, the Parties will agree on a monthiy royalty fee ofthe turnover from such product sales to be pald by the Participant to the Organiser as per Special Regulation No. 9. The detailed terms and conditions relating to he sales of products in the preceding paragraphs shall be set forth in the relevant guldes.
® f x The Participant that the spaces agrees ; * devoted to all commercial activities (including food and beverage services) shall not exceed twenty per cent (20%) of its total covered Exhibition space, Details regarding the above shall be described in Appendix W. CHAPTER IV - BENEFITS GRANTED TO THE PARTICIPANTS 2 The Partleipant wiil be granted the right to use the Örganiser's logo and name subject to the hranding guidelines. CHAPTER V - ENTRY INTO FORCE AND ASSIGNMENT The Contract shall enter into force when It is signed by the Parties hereto, If the Contract shall be signed on different dates, then this Contract shall enter into force on the later date of signature, All notices and communications based on this Contract shall be made in writing, Ail notices under the preceding paragraph shall be addressed to the following representatives of each Party: United Arab Emirates Germany The Participant may not assign or otherwise transfer Its rights or obligations In connection with this Contract. This Contract shall be governed by the by the laws and of regulatlons Dubai and the Federal Laws as applicable in Dubai, Any dispute or difference between the Parties arising sur cf or in connection with this Contract shall first be referred to the representaktives of the Parties a8 set out below; ». The Parties will make all reasonable endeavours to sektle amlcab!y any dispute arising out of or in connection with this Contract upon receipt ofthe details of the dispute by the representatives, » fa dispute is not settled amicably within fourteen (14) days after it is raised, then such dispute will be referred to and finally resolved by arbitration under the Dubai International Arbitration Centre (DIAC) Arbitration Rules.
» Any arbitration shall be conducted in the English language, The seat of arbitration will be Dubal, UAE. « Three arbitrators shall be appolnted. The arbitrator(s} shall be agreed between the Parties or, failing agreement within fourteen {14) calendar days from the time when either Party has given to the other Party a request to concur in the appeintment of an arbitrator, shall be appointed in accordance with the DIAC Arbitration Rules, « Arbitration may be commenced prior to or after completion of the Participant's works. The provisions of this Contract shall not be altered by reason of any arbitration being conducted during the progress of the Participant’s works, IN WITNESS WHEREOR, this Contract shall be prepared in dup!icate and shall be signed by the authorized signatory and the representative of the Organiser, each party retälning one copy.
