Ares(2020)1526727 - 12/03/20 SERVICE LEVEL AGREEMENT No.: JRC/FX/357/2010 between JOINT RESEARCH CENTRE Institute for the Protection and Security of the Citizen and European Agency for the Management of Operational Cooperation at the External Borders of the Member states of the European Union The European Union, represented by the European Commission, represented for the purpose of signing this Service Level Agreement by Dr. Stephan Lechner, Director of the Institute for the Protection and Security of the Citizen of the Joint Research Centre, hereinafter referred to as "JRC" and European Agency for the Management of Operational Cooperation at the External Borders of the Member states of the European Union, which is represented for the purposes of the signature of this contract by Mr. Gil Arias, Deputy Executive Director of the European Agency for the Management of Operational Cooperation at the External Borders of the Member states of the European Union, hereinafter referred to as "Frontex" Having regard to Regulation 2007/2004/EC of the Council of the European Union of 26 October 2004 establishing a European Agency for the Management of Operational Cooperation at the External Borders of the Member states of the European Union have agreed the conditions below and the following annexes: I -Terms of Reference which form an integral part of this Service Level Agreement (SLA) text in lower corners removed, justification 1

Article 1

The subject of this Service Level Agreement is execution of tasks as described in the
Terms of Reference in Annex 1.

Article 2

This Service Level Agreement enters into force on the day following the signature of
the last contracting party.

Execution of the tasks may under no circumstances begin before the date on which
this Service Level Agreement enters into force.

Article 3

The duration ofthe implementation shall not exceed 11 months (apart from the task 1:
maintenance of the system — which shall be maintained until the end of 2011). This
period and all other periods specified in this Service Level Agreement are calculated
in calendar days. Execution of the tasks shall start from the date of entry into force of
this Service Level Agreement. The period of execution of the tasks may be extended
only with the express written agreement ofthe parties before such period elapses.

Article 4

The maximum total amount to be paid by Frontex under this Service Level Agreement
shall be EUR 50.000,00 (fifty thousand Euro), covering all tasks to be executed. The
total amount referred to in the above paragraph shall be fixed and not be subject to
revision.

Article 5

Payments shall be executed only if the JRC has fulfilled his contractual obligations
covered by the debit note by the date on which the debit note is submitted.

Pre-financing:

Following signature of this Service Level Agreement by the last contracting party,
within 30 days ofthe receipt by Frontex of a request for pre-financing with a relevant
debit note, a pre-financing payment of EUR 15.000,00 (fifteen thousand Euro) equal
to 30% ofthe total amount referred to in Article 4 shall be made.

Payment ofthe Balance

The request for payment ofthe balance of JRC shall be admissible if accompanied by:

e The deliverables in accordance with the instructions laid down in the Terms of
Reference (Annex 1);

°e The relevant debit note issued one month before the expiry of this Service Level
Agreement, provided the deliverables have been approved by Frontex.

Within 30 days of the date on which the deliverables have been approved by Frontex, payment of the balance corresponding to EUR 35.000,00. (thirty-five thousand Euro) equal to 70% of the total amount referred to in Article 4 shall be made. Article 8

Any delay and their reasons in performance ofthe tasks must be immediately notified
to Frontex.

Article 9

Any amendment to this Service Level Agreement shall be the subject of a written
agreement concluded by JRC and Frontex. An oral agreement is not binding on the
contracting parties.

Article 10

The Terms of Reference (Annex I) constitutes an integral part of this Service Level
Agreement. The implementation of the project will be monitored according to the
Terms of Reference.

Article I1

Any results or rights thereon, obtained in performance ofthe Contract, shall be owned
by Frontex.

Article 12

The copyright and other intellectual or industrial property rights, obtained in
performance ofthe Contract, shall be owned by the JRC.

Article 13
This Service Level Agreement shall be governed by the national substantive law of
Poland. Any dispute between the parties resulting from the interpretation or
application ofthis Service Level Agreement which cannot be settled amicably shall be
brought before the courts of Warsaw, Poland.

TERMS OF REFERENCE

“Maintenance and extensions of the integrated Event Extraction System to
Capturing Structured Information on Illegal Immigration Events, Cross-border

Criminal Activities and Related Crisis Events from Online News”

 

l. BACKGROUND

Media Monitoring is an essential function of any organization which relies on input
coming from several sources, in order to support operations and decision making. The
main Media Monitoring tool used by the EU institutions is the Europe Media Monitor
(EMM), conceived and managed by the DG Joint Research Centre. Equally, the JRC is
the most advanced public research institution in the field of Media Mining, in Europe. In
particular, a Frontex-tailored version of EMM called Frontex Media Monitor (FMM) has
been developed for Frontex purposes by JRC.

For in-depth exploration of the usability of automated event extraction for border-security
intelligence and to support the European Commission and Frontex in the development of
EUROSUR?! the developed event extraction system needs to be maintained and integrated
with the EUROSUR pilot? information exchange network. Furthermore, the accuracy of
the event extraction system has to be improved and its coverage needs to be extended.

2. DESCRIPTION OF THE ASSIGNMENT
The required service consists of:

l. Maintenance (externally) ofthe developed event extraction system for border
security-related intelligence gathering until the end of 2011.

2. Extension of the system to:

a. Extraction of the following types of events from news in French language:
illegal migration ıncidents and related cross-border crime activities
(human trafficking and smuggling)

b. Extraction of the following types of events from news in Arabic language:
illegal migration incidents, related cross-border crime activities (human
trafficking and smuggling), and related crisis events (violent events,
displacements, natural and man-made disasters, armed conflicts,
humanitarian crisis)

c. improving automated geo-locating of events

3. Provision of access to the automatically extracted events via a web service in
order to facilitate the integration of the event extraction system with the
EUROSUR pilot information exchange network

3. EXPERT’S PROFILE

The experts implementing the assignment should have expertise and hands-on experience
of 3 years in building large-scale online news aggregation engines, multilingual event
extraction, machine learning and natural language processing. At least one team member
should be fluent in French; also at least one team member should be fluent in Arabic. For
the communication purposes with Frontex, the reporting experts should also be fluent in
verbal and written English.

4. LOCATION AND DURATION

The implementation of the tasks specified in Section 2 will start after signing of the
agreement and last for:

- Task | - until the end of 2011

- Tasks 2 and 3 - it should not exceed 11 months as from the Service Level Agreement
signature.

There is no particular location. where the the tasks specified in the assignment have to be
accomplished.

5. REPORTING

The contractor is requested to report on a monthly basis on the accomplishment of each
of the tasks specified in Section 2. In particular, regular meetings will be organised in
order to discuss and report on the progress of the accomplishment of the tasks. Each party
will cover its travel and accommodation expenses incurred attending such meetings from
other sources than assigned to the prospective Service Level Agreement.

The language used for reporting and communication between Frontex and the Contractor
will be English.

6. ADMINISTRATION

A pre-financing of up to 30% of the total cost of the agreement is possible upon request
of the Contractor.

The final payment to the Contractor will be possible upon completion of all the tasks
specified in Section 2 of this document and after their approval by Frontex.
